Templates and letters for directors

These are free, copyable templates for directors dealing with company debt, HMRC arrears or the threat of liquidation. Each one shows the full wording on the page so you can read it before you use it, with a button to copy it or download it as a text file. They are starting points to adapt to your own facts, not advice, and they cannot promise any particular outcome: a licensed insolvency practitioner or solicitor should look at your situation before you rely on any of them. Change the placeholders in square brackets to your own details, and keep a dated copy of anything you send.

Board resolution template A minute of a directors meeting recording the decision to take insolvency advice or to convene a members meeting to consider liquidation. HMRC Time to Pay proposal letter A letter proposing an instalment plan for a tax arrears balance, with the affordability information HMRC asks for. Creditor holding letter A short letter asking a creditor to hold enforcement for a set period while you take professional advice. Creditors' voluntary liquidation (CVL) checklist The sequence of steps in a CVL, what the directors do and what the licensed insolvency practitioner handles. Response to a winding-up petition A checklist and letter for the days after a petition arrives, with the options open to you.

How to use these templates safely

Every template uses square brackets for the details you need to fill in, such as [company name], [amount] or [date]. Replace all of them before you send anything. The wording is deliberately plain and factual. Do not add promises you cannot keep, and do not describe your position more optimistically than the numbers support.

These documents do not change your legal duties. If your company may be insolvent, the interests of creditors come first, and the safest step is usually to speak to a licensed insolvency practitioner early. Where a template touches a court process, such as a winding-up petition, get advice from a solicitor or insolvency practitioner before you rely on it, because timing and the strength of any dispute matter a great deal.
